1. Agreement to Terms

Welcome to Quantra. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and LeadTitan LLC ("Company," "we," "our," or "us") governing your access to and use of the Quantra mobile application ("App") and related services ("Services").

BY DOWNLOADING, INSTALLING, OR USING THE APP, YOU AGREE TO BE BOUND BY THESE TERMS. If you do not agree to these Terms, do not use the App.

If you are using the App on behalf of an organization (employer), you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Quantra is a comprehensive workforce management platform that provides:

  • Time & Attendance Tracking - Clock in/out with GPS verification
  • Employee Scheduling - Shift management and availability
  • Payroll Processing - Time-to-payroll calculations
  • Expense Management - Receipt scanning and reimbursement tracking
  • Task Management - Assignment and completion tracking
  • Team Communication - In-app messaging and announcements
  • Document Management - Policy distribution and storage
  • HR Management - Employee profiles and records
  • AI-Powered Features - Intelligent scheduling, expense categorization, and analytics

3. Eligibility

To use Quantra, you must:

  • Be at least 16 years of age
  • Have the legal capacity to enter into a binding agreement
  • Be authorized by your employer/organization to use the App (if applicable)
  • Provide accurate and complete registration information
  • Not be prohibited from using the App under applicable laws

4. Account Registration and Security

4.1 Account Creation

To access Quantra, you must create an account or be invited by your organization administrator. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials confidential and secure
  • Notify us immediately of any unauthorized access to your account

4.2 Account Responsibility

You are solely responsible for:

  • All activities that occur under your account
  • Maintaining the security of your password and authentication methods
  • Any consequences resulting from your failure to maintain account security

4.3 Authentication Methods

Quantra supports multiple authentication methods:

  • Email and password
  • Google Sign-In (OAuth)
  • Microsoft Sign-In (OAuth)
  • Biometric authentication (Face ID, Fingerprint)
  • Multi-factor authentication (MFA)

You are responsible for safeguarding all authentication methods you enable.

5. Subscription and Payment

5.1 Subscription Plans

Quantra is offered through subscription plans purchased by organizations (employers). Individual employees typically access the App through their employer's subscription.

5.2 Pricing

Subscription pricing is available on our website or through direct sales. Prices are subject to change with reasonable notice.

5.3 Billing

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • Failure to pay may result in suspension or termination of access

5.4 Free Trial

We may offer free trial periods. At the end of a trial, your subscription will automatically convert to a paid plan unless cancelled.

6. Acceptable Use Policy

6.1 Permitted Use

You may use Quantra only for:

  • Legitimate workforce management purposes
  • Activities authorized by your organization
  • Purposes consistent with these Terms and applicable laws

6.2 Prohibited Conduct

You agree NOT to:

Security Violations:

  • Attempt to gain unauthorized access to the App, other accounts, or our systems
  • Circumvent, disable, or interfere with security features
  • Use automated scripts, bots, or scrapers without authorization
  • Probe, scan, or test the vulnerability of our systems
  • Interfere with or disrupt the integrity or performance of the App

Content Violations:

  • Upload, post, or transmit any content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity
  • Upload viruses, malware, or other malicious code
  • Violate the intellectual property rights of others

Legal Violations:

  • Use the App for any illegal purpose
  • Violate any applicable local, state, national, or international law
  • Engage in fraud, money laundering, or other financial crimes
  • Violate employment laws or labor regulations

Data Violations:

  • Collect or harvest user data without authorization
  • Share login credentials with unauthorized parties
  • Export data in violation of your organization's policies
  • Use data for purposes other than intended workforce management

6.3 Consequences of Violations

Violations may result in:

  • Warning or suspension of your account
  • Termination of your access to the App
  • Reporting to your employer/organization
  • Legal action if warranted

7. Time Clock and Location Services

7.1 GPS Verification

Quantra uses location services to:

  • Verify your location when clocking in/out (geofencing)
  • Confirm presence at job sites
  • Enable location-based features

7.2 Accuracy Responsibility

You acknowledge that:

  • You are responsible for ensuring accurate time entries
  • Falsifying time records or location data is prohibited
  • Your employer may review and audit time records
  • Inaccurate entries may be corrected by your employer

7.3 Location Data

By using location-based features, you consent to the collection and use of your location data as described in our Privacy Policy.

8. AI-Powered Features

8.1 AI Services

Quantra incorporates artificial intelligence for:

  • Receipt scanning and expense categorization (OCR)
  • Intelligent scheduling recommendations
  • Predictive analytics and insights
  • Automated workflow suggestions

8.2 AI Limitations

You acknowledge that:

  • AI features provide suggestions and are not guaranteed to be accurate
  • Final decisions remain with authorized users (managers, administrators)
  • AI-generated content should be reviewed before reliance
  • We are not liable for decisions made based on AI recommendations

8.3 Data Processing

AI features may process your data through third-party AI providers (OpenAI, Anthropic) as described in our Privacy Policy.

9. Intellectual Property

9.1 Our Intellectual Property

Quantra and all related content, features, and functionality are owned by LeadTitan LLC and are protected by:

  • Copyright laws
  • Trademark laws
  • Patent laws
  • Trade secret laws
  • Other intellectual property rights

The Quantra name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of LeadTitan LLC.

9.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Download and install the App on your personal device
  • Access and use the App for its intended purposes
  • Use the App in accordance with these Terms

9.3 Restrictions

You may NOT:

  • Copy, modify, or create derivative works of the App
  • Reverse engineer, decompile, or disassemble the App
  • Remove any copyright or proprietary notices
  • Transfer, sublicense, or assign your rights to the App
  • Use the App for competitive analysis or to build a competing product

9.4 User Content

You retain ownership of content you submit to the App (messages, documents, photos). By submitting content, you grant us a worldwide, royalty-free license to use, store, and process that content for the purpose of providing the Services.

10. Third-Party Services

10.1 Integrations

Quantra may integrate with third-party services:

  • Google (authentication)
  • Microsoft (authentication)
  • Supabase (backend infrastructure)
  • AI providers (OpenAI, Anthropic)
  • Push notification services (Expo)

10.2 Third-Party Terms

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for third-party services.

10.3 Third-Party Links

The App may contain links to third-party websites or services. We do not endorse or assume responsibility for any third-party content.

11. Privacy

Your privacy is important to us. Please review our Privacy Policy which explains how we collect, use, and protect your information. By using Quantra, you consent to our data practices as described in the Privacy Policy.

12. Disclaimers

12.1 "As Is" Basis

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR COMPLETENESS OF CONTENT

12.2 No Guarantee

We do not guarantee that:

  • The App will be uninterrupted, timely, secure, or error-free
  • Results obtained from the App will be accurate or reliable
  • The App will meet your specific requirements
  • Any errors in the App will be corrected

12.3 Compliance Disclaimer

While Quantra is designed to assist with workforce management and compliance, we do not guarantee compliance with any specific laws or regulations. You and your organization are responsible for ensuring compliance with applicable employment laws, labor regulations, and tax requirements.

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEADTITAN LLC SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of procurement of substitute services
  • Any damages arising from your use or inability to use the App

13.2 Liability Cap

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF:

  • The amount you paid to us in the twelve (12) months preceding the claim, OR
  • One hundred dollars ($100)

13.3 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless LeadTitan LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of any applicable laws
  • Content you submit to the App
  • Your negligence or willful misconduct

15. Termination

15.1 Termination by You

You may terminate your account at any time by:

  • Contacting your organization administrator (for employer-managed accounts)
  • Using the account deletion feature in the App
  • Contacting us at support@leadtitan.com

15.2 Termination by Us

We may suspend or terminate your access at any time, with or without cause, including for:

  • Violation of these Terms
  • Non-payment of subscription fees (by your organization)
  • Request by your employer/organization
  • Extended inactivity
  • Discontinuation of the Service

15.3 Effect of Termination

Upon termination:

  • Your right to use the App immediately ceases
  • You must delete the App from your devices
  • We may delete your data after a reasonable retention period
  • Provisions of these Terms that should survive will remain in effect

15.4 Data After Termination

Your organization may retain access to your employment-related data (time records, payroll data) as required by law, even after account termination.

16. Dispute Resolution

16.1 Informal Resolution

Before filing any claim, you agree to try to resolve the dispute informally by contacting us at legal@leadtitan.com. We will attempt to resolve the dispute within 30 days.

16.2 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding arbitration in accordance with the American Arbitration Association's rules.

16.3 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.4 Exceptions

The following disputes are excluded from arbitration:

  • Claims that may be brought in small claims court
  • Intellectual property disputes
  • Claims for injunctive relief

16.5 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

17. Changes to Terms

17.1 Modifications

We reserve the right to modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date
  • For material changes, we will provide notice via the App or email
  • Continued use of the App after changes constitutes acceptance

17.2 Review

We encourage you to review these Terms periodically. If you do not agree to modified Terms, you must stop using the App.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and LeadTitan LLC regarding the App.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.

18.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and LeadTitan LLC.

18.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

18.7 Notices

Notices to you may be made via the App, email, or postal mail to the address in your account. Notices to us should be sent to legal@leadtitan.com.

18.8 Headings

Section headings are for convenience only and shall not affect the interpretation of these Terms.

20. Acknowledgment

BY USING QUANTRA, YOU ACKNOWLEDGE THAT:

  • You have read and understood these Terms of Service
  • You agree to be bound by these Terms
  • You have read and understood our Privacy Policy
  • You are of legal age to enter into this agreement
  • You have the authority to enter into this agreement on behalf of yourself or your organization
